SUSCRIPTION SERVICE AGREEMENT

This Subscription Services Agreement ("Agreement") is entered into by and between BDN Multiservices LLC, a Florida limited liability company, with its principal place of business in the State of Florida ("Company"), and the individual enrolling in the Company's educational program ("Student" or "Subscriber"). By enrolling in the Program, executing this Agreement electronically, or making any payment, the Student acknowledges that he or she has read, understood, and agrees to be legally bound by all of the terms and conditions contained herein.

ARTICLE 1. Parties

This Agreement is entered into by and between BDN Multiservices LLC, a Florida limited liability company organized and existing under the laws of the State of Florida, together with its members, managers, officers, employees, instructors, agents, affiliates, successors, assigns, licensors, contractors, and representatives (collectively, the "Company"), and the individual who enrolls in the Company's educational program and completes the enrollment and payment process through the Company's website or other authorized platform (the "Student" or "Subscriber").

The identity of the Student shall be established by the information provided by the Student during the enrollment, registration, checkout, or payment process, including, without limitation, the Student's name, email address, billing information, payment records, account information, and any other identifying information maintained by the Company in its ordinary course of business.

The Company and the Student may each be referred to individually as a "Party" and collectively as the "Parties."

ARTICLE 2. Purpose of the Agreement

The purpose of this Agreement is to establish the terms and conditions governing the Student's enrollment in, participation in, and access to the Company's educational subscription program.

This Agreement governs all services, educational materials, digital content, live training sessions, prerecorded lessons, downloadable resources, templates, bonuses, and any other benefits provided by the Company during the Program.

ARTICLE 3. Description of Services

The Company agrees to provide the Student with access to the educational Program purchased by the Student. The Program may include, without limitation: live virtual classes, pre-recorded educational lessons, and downloadable educational materials. The Company reserves the right to improve, modify, replace, reorganize, update, or discontinue portions of the Program provided that such modifications do not materially reduce the overall educational value of the Program.

ARTICLE 4. Term of Program

The Student acknowledges that the educational Program has a duration of four (4) consecutive months. Enrollment in the Program constitutes enrollment in the entire educational curriculum and not solely on a month-to-month educational basis. The Company permits monthly payments solely as a financing convenience.

The Student acknowledges that: (a) the Program is designed to be completed over approximately four (4) months; (b) each month's content builds upon prior lessons; (c) access to educational content is progressively released throughout the Program; (d) educational materials become available immediately upon enrollment and throughout participation in the Program. Nothing contained herein shall be construed as creating a month-to-month educational contract independent of the complete Program.

ARTICLE 5. Subscription; Payment; Recurring Billing Authorization

The Student agrees to pay the subscription fees established by the Company at the time of enrollment. By enrolling, the Student expressly authorizes the Company to automatically charge the payment method designated by the Student for recurring monthly subscription payments.

The Student authorizes recurring charges until: (a) the four-month Program has concluded; or (b) the Subscription is canceled pursuant to this Agreement.

The Student represents and warrants that: the payment information provided is accurate; the Student is authorized to use the payment method; sufficient funds or credit shall remain available.

The Student agrees to promptly update any expired or changed payment information.

Failure to maintain valid payment information shall constitute a material breach of this Agreement.

The Company may utilize third-party payment processors to process recurring charges.

The Student authorizes such payment processors to process recurring transactions on behalf of the Company.

ARTICLE 6. Payment failure; Suspension of Access

If any scheduled payment is declined, rejected, reversed, disputed, or otherwise fails to process for any reason, the Company may, without prior notice: (a) immediately suspend the Student's access to the Program; (b) suspend access to all educational materials; (c) suspend access to any community; (d) suspend participation in coaching sessions; (e) suspend access to downloadable materials; (f) suspend issuance of certificates or completion acknowledgments.

Access shall remain suspended until the outstanding balance has been paid in full and the payment method has been successfully processed. The Company may make additional attempts to process the payment. The Student remains responsible for all unpaid amounts.

ARTICLE 7. Cancellation of subscription

The Student may cancel future recurring subscription charges by submitting written notice to the Company through the method designated by the Company, including email or the Company's online account portal. Cancellation requests must include: Student's full name; email address; request to cancel the subscription. Cancellation shall become effective at the conclusion of the Student's current billing cycle unless otherwise required by applicable law. Upon the Effective Cancellation Date: (a) all future recurring charges shall cease; (b) the Student's access to the Platform shall immediately terminate; (c) access to all educational materials shall terminate; (d) community access shall terminate; (e) coaching access shall terminate; (f) all licenses granted under this Agreement shall immediately expire. The Company reserves the right to verify the identity of any individual requesting cancellation before processing such request.

ARTICLE 8. No refunds

The Student expressly acknowledges that the Program consists primarily of digital educational content that becomes available immediately upon enrollment and throughout participation. Accordingly, all payments made under this Agreement are final and non-refundable, except as otherwise required by applicable law. The Student specifically acknowledges that no refund shall be provided because: (a) digital educational content has been made available; (b) proprietary educational methods have been disclosed; (c) access to the Platform has been granted; (d) the Student has received or had the opportunity to receive educational services. Cancellation of the Subscription does not entitle the Student to reimbursement of any monthly payments previously charged or paid.

ARTICLE 9. Student acknowledgements

The Student expressly acknowledges and agrees that: The Company provides educational services only; The Company does not guarantee any particular financial, business, professional, employment, academic, licensing, certification, investment, or personal results; Individual success depends upon numerous factors beyond the Company's control, including the Student's own efforts, experience, market conditions, business decisions, financial resources, and implementation; Any testimonials, examples, success stories, or case studies presented by the Company are illustrative only and do not constitute a guarantee that the Student will achieve similar results; The Student assumes full responsibility for all decisions made in reliance upon the educational content provided by the Company; The Student has had the opportunity to ask questions regarding the Program prior to enrollment and enters into this Agreement voluntarily and The Student understands that this Agreement is a legally binding contract governed by the laws of the State of Florida.

ARTICLE 10. Student conduct and community standards

The Company is committed to maintaining a professional, respectful, and collaborative educational environment. As a condition of participation in the Program, the Student agrees to conduct himself or herself in a professional and respectful manner toward the Company, its owners, employees, instructors, contractors, affiliates, and all other participants. The Student shall not engage in any conduct that the Company, in its sole and reasonable discretion, determines to be abusive, harassing, discriminatory, threatening, defamatory, disruptive, fraudulent, obscene, unlawful, or otherwise inconsistent with the educational purpose of the Program.
